1. Acceptance of Terms

By accessing the website pottermedianews.com (the "Site"), using any of Potter Media's services, or entering into an agreement with us, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not use the Site or our services. These Terms apply to all visitors, users, clients, advertisers, and others who access or use our services.

2. About Potter Media

Potter Media is a full-service media, advertising, and communications company based in Ikeja, Lagos, Nigeria. We provide services including but not limited to: TV and radio advertising, digital marketing, media coverage and public relations, publishing (print and digital), creative design, event coverage, brand identity, web development, and out-of-home advertising. References to "Potter Media," "we," "our," or "us" refer to Potter Media and its affiliates.

3. Use of Website & Content

All content on this website — including articles, news reports, images, graphics, logos, videos, and advertisements — is the property of Potter Media or its licensors and is protected by Nigerian and international copyright laws.

  • You may view, download, and print content for personal, non-commercial use only.
  • You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content without prior written consent from Potter Media.
  • Unauthorized use of our content may violate copyright, trademark, and other laws.
  • News articles may be shared via social media or excerpted with proper attribution and a link back to the original source.

4. Advertising & Media Services

When you engage Potter Media for advertising, media placement, or creative services, additional terms apply as outlined in your specific service agreement, insertion order, or campaign proposal. Key provisions include:

  • Campaign Materials: You represent that you own or have licensed all creative assets (images, videos, trademarks) provided to us and that they do not infringe third-party rights.
  • Prohibited Content: We reserve the right to refuse any advertising that is deceptive, illegal, defamatory, obscene, or violates applicable regulations (including NAFDAC, APCON, NBC guidelines).
  • Payment Terms: Invoices are due within the timeframe specified in your agreement (typically 14–30 days). Late payments may incur interest at 5% per month or the maximum permitted by law.
  • Campaign Changes: Any changes to booked airtime, placements, or creative must be submitted in writing at least 5 business days before scheduled launch.
  • Makegoods: In the event of a broadcaster error or failure to deliver guaranteed impressions, we will provide makegood placements at no additional cost.
📺 Important Note: All media bookings are subject to station/network availability. Estimated audience figures are based on third-party data and are not guaranteed. Potter Media acts as an agent and is not liable for broadcaster schedule changes beyond our control.

5. Publishing & Editorial Submissions

If you submit content (articles, press releases, guest posts, images) to Potter Media for publication:

  • You grant us a non-exclusive, royalty-free, worldwide license to publish, distribute, and promote your content across our platforms.
  • You warrant that your content is original, accurate, and does not violate any third-party rights or applicable laws.
  • We reserve the right to edit, refuse, or remove any submitted content at our sole discretion.
  • Sponsored content and native advertising will be clearly labeled as such in compliance with APCON guidelines.

6. Intellectual Property

The Potter Media name, logo, and all related trademarks, service marks, and trade names are our exclusive property. You may not use them without prior written permission. Any creative work (designs, videos, copy) produced by Potter Media for clients remains our property until full payment is received, at which point ownership transfers to the client as specified in the agreement.

7. User Conduct & Prohibited Activities

You agree not to:

  • Use our website or services for any illegal purpose or to violate any laws.
  • Attempt to gain unauthorized access to our systems or interfere with website functionality.
  • Upload malicious code, viruses, or harmful content.
  • Harass, abuse, or harm others through comments or interactions on our platforms.
  • Scrape, crawl, or use automated bots to extract content without permission.

8. Third-Party Links & Advertisers

Our website may contain links to third-party websites, advertisers, or services. These links are provided for your convenience only. Potter Media does not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party sites. Your interactions with third parties are solely between you and them.

9. Disclaimer of Warranties

Potter Media provides its website and services on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, secure, or free of viruses or harmful components.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, Potter Media and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from:

  • Your use or inability to use our website or services.
  • Any conduct or content of third parties on our platforms.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Any delay or failure to perform due to circumstances beyond our reasonable control (force majeure).

Our total liability to you for any claim arising out of these Terms shall not exceed the amount you paid to us (if any) in the preceding six months.

11. Indemnification

You agree to indemnify, defend, and hold harmless Potter Media and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of our services; (c) any content you submit or transmit; or (d) your violation of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to our website or services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, indemnification, limitation of liability) shall survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap. A18, Laws of the Federation of Nigeria, 2004. The arbitration shall be conducted by a single arbitrator mutually agreed upon. Judgment on the arbitration award may be entered in any court having jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or operational needs. The "Last updated" date at the top of this page indicates when changes were made. Continued use of our website or services after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

15. Entire Agreement & Severability

These Terms constitute the entire agreement between you and Potter Media regarding your use of our website and services, superseding any prior agreements. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
